This requirement applies to approximately 32 million businesses, including corporations, limited liability companies (LLC), as well as some partnerships and trusts.<\/p>\n<p>This raises many questions: Does my company have to report its beneficial owner(s)? Who are the beneficial owners of my company? What specific information does my company need to report? Today we are going to provide an overview of what you need to know about filing a BOI report.<\/p>\n<h2>What is Beneficial Ownership Information Reporting?<\/h2>\n<p>Beneficial ownership information encompasses the identifying details, such as names, of individuals who possess or oversee a business. Mandated by the <strong>Corporate Transparency Act<\/strong> (CTA) of 2021, reporting this information to the Financial Crimes Enforcement Network (FinCEN\u2014a division of the U.S. Department of the Treasury\u2014is required for most businesses. This measure aims to combat various illegal activities, including money laundering, terrorism financing, tax fraud, human trafficking, drug trafficking, counterfeiting, piracy, securities and financial fraud, as well as acts of foreign corruption.<\/p>\n<h2>What\u2019s a reporting company?<\/h2>\n<p>Certain domestic companies and foreign entities are categorized as &#8220;reporting companies&#8221; and are required to adhere to the beneficial ownership rule. These companies are:<\/p>\n<h3>Domestic companies:<\/h3>\n<ul>\n<li>This includes U.S. businesses structured as a corporation, limited liability company (LLC), or another entity (e.g., statutory trust, business trust, or foundation).<\/li>\n<li>These entities were established by filing a document with a secretary of state or a similar office within the United States.<\/li>\n<\/ul>\n<h3>Foreign entities:<\/h3>\n<ul>\n<li>Refers to companies formed under the law of a foreign country.<\/li>\n<li>These entities were established by filing a document with a secretary of state (or similar office) to conduct business activities within the United States.<\/li>\n<\/ul>\n<h2>Is my company exempt from the reporting requirements?<\/h2>\n<p>Not all companies are required to report BOI to FinCEN under the Reporting Rule. Companies are required to report only if they meet the Reporting Rule\u2019s definition of a \u201creporting company\u201d and do not qualify for an exemption.<\/p>\n<p>The Reporting Rule exempts <strong>twenty-three<\/strong> (23) specific types of entities from the reporting requirements listed below. Is there a deadline to file BOI Reports?<\/h2>\n<p>You can file your BOI reports starting January 1, 2024. Mentioned below are the deadlines for respective companies who are filing for the first time:<\/p>\n<ul>\n<li><strong>Companies registered before January 1, 2024<\/strong><br \/>\n&#8211; have <strong>until January 1, 2025<\/strong>, to report it<\/li>\n<li><strong>Companies registered between January 1, 2024, to January 1, 2025.<\/strong><br \/>\n&#8211; must report it within <strong>90 calendar days<\/strong> after companies register in state<\/li>\n<li><strong>Companies registered after January 1, 2025<\/strong><br \/>\n&#8211; must report it within <strong>30 calendar days<\/strong> after companies register in state<\/li>\n<\/ul>\n<p><strong>Note:<\/strong> Reporting companies created or registered on or after January 1, 2025, will have 30 calendar days from actual or public notice that the company\u2019s creation or registration is effective to file their initial BOI reports.<\/p>\n<h3>Who is a Beneficial Owner? What information should a reporting company report about a beneficial owner?<\/h3>\n<p>A beneficial owner is an individual who either directly or indirectly:<br \/>\n(1) exercises <strong>substantial control<\/strong> (individual holds a senior officer position, has authority over officer appointments\/removals or a majority of directors, and is a key decision-maker for the reporting company) over the reporting company, or<br \/>\n(2) owns or controls <strong>at least 25%<\/strong> of the reporting company\u2019s ownership interests.<\/p>\n<h3>Who is a Company Applicant? Is my company required to report its company applicants?<\/h3>\n<p>The term &#8220;company applicant&#8221; refers to either an individual or an entity tasked with submitting the necessary documents to establish or register a business with state authorities, Indian tribes, or other jurisdictions within the United States.<\/p>\n<p>Suppose you have started a company in New York City on January 25, 2024. In this case, the company applicant would be the individual or organization submitting the required documents to the New York Department of State.<\/p>\n<p>Not all companies are required to provide their company applicants to FinCEN. Only the businesses established on or after January 1, 2024, are required to do so. Businesses formed before January 1, 2024, are exempted from disclosing their company applicant information.<\/p>\n<figure class=\"wp-block-image size-large\"><img decoding=\"async\" class=\"wp-image-2299\" src=\"https:\/\/www.tax1099.com\/blog\/wp-content\/uploads\/2024\/04\/company-applicant-1024x533.png\" alt=\"Company Applicant\" \/><\/figure>\n<p><strong>Note<\/strong>: Companies or legal entities cannot be company applicants and no reporting company will have more than two company applicants.<\/p>\n<h3>What are the penalties for BOI reporting non-compliance?<\/h3>\n<p>Being compliant not only helps in adhering to legal obligations but also plays a part in the broader effort to prevent financial crimes and enhance corporate transparency. If you miss your filing deadline or provide incorrect information, you can face serious penalties. These include:<\/p>\n<ul>\n<li>Civil penalty of up to $500 per day<\/li>\n<li>Criminal penalty \u2013 prison for up to 2 years and up to $10,000 fine<\/li>\n<\/ul>\n<h2>How to File BOI Reports Online?<\/h2>\n<p>FinCEN has estimated that it takes around 3 hours to file each BOI report.
